These Terms & Conditions govern the provision of all services offered by Dellsche Business Consultancy Limited (“Dellsche”, “we”, “us”, “our”). By accepting a quotation, commissioning work, or making payment, you (“the client”, “you”, “your”) confirm your acceptance of these Terms in full.
1. Payment Terms
1.1 Payment must be made in full by the due date specified on the invoice, unless otherwise agreed in writing.
1.2 All services are payable in advance unless explicitly agreed otherwise in writing.
1.3 No work will commence until a written acceptance of the quote or proposal is received.
1.4 Payment of an invoice constitutes full and binding acceptance of these Terms & Conditions.
1.5 In the event of late payment, Dellsche reserves the right to:

suspend or delay work,
-
withhold deliverables,
-
cancel scheduled activities, and/or
-
charge statutory interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
1.6 Where staged or milestone payments are agreed, each instalment must be paid on or before the specified due date. Non-payment may result in immediate suspension of all work.
1.7 Retainer fees are payable monthly in advance. Unused hours do not roll over unless expressly agreed in writing.
2. Quotes & Pricing
2.1 All quotations are valid for 30 calendar days unless otherwise stated.
2.2 Acceptance of a quote confirms agreement to the outlined scope of work, deliverables, timelines, fees, and these Terms.
2.3 Work will not commence until a quote is accepted and any required upfront payment is received.
2.4 Pricing may be adjusted to account for revisions beyond the agreed scope, additional materials, travel, third-party costs, or extended requirements.
3. Client Responsibilities
3.1 You are responsible for supplying all necessary content, information, access credentials, approvals and instructions required for service delivery.
3.2 Delays arising from missing information, late responses, or access restrictions are not the responsibility of Dellsche and may impact agreed timelines.
3.3 You retain full responsibility for the accuracy and legality of all information and materials provided.
3.4 You are solely responsible for the management, security and maintenance of access permissions to your platforms (e.g., social media, websites, email, Google Business).
4. Revisions
4.1 One (1) revision is included per design, document, post, or written asset unless otherwise specified.
4.2 Additional revisions beyond the inclusive amount will be chargeable at our standard rate.
4.3 Where “unlimited revisions” are offered, they apply only during the active design or draft phase and conclude upon final approval of the deliverable.
5. Ownership & Intellectual Property
5.1 Full ownership of final deliverables transfers to you only upon receipt of full cleared payment.
5.2 All working files, draft materials, templates, formulas, raw footage, source files, and design assets remain the intellectual property of Dellsche unless a separate agreement is made in writing.
5.3 Editable files (e.g., source design files, spreadsheets, templates) are not included by default and may be licensed or purchased separately.
5.4 Documents and templates provided are licensed solely for internal business use. They may not be resold, distributed, or repurposed to create derivative or competing products.
6. Timelines & Delivery
6.1 All timescales are indicative and dependent on client responsiveness, project scope, and workload.
6.2 Dellsche accepts no liability for delays arising from third-party failures, client-side delays, force majeure, or circumstances beyond our reasonable control.
6.3 Day rates are based on a maximum of seven (7) working hours, including preparation and follow-up.
7. Travel & Expenses
7.1 Travel beyond the DN18 postcode area is chargeable at the prevailing mileage rate or agreed travel cost.
7.2 Third-party expenses (including but not limited to software, printing, postage, licensing or platform fees) are not included unless explicitly stated in the quotation.
8. Creative Services
8.1 Content scheduling is dependent upon timely provision of materials and approvals by the client.
8.2 Photography is conducted using iPhone equipment with light editing only, unless otherwise agreed.
8.3 Advertising budgets are separate from service fees and must be paid directly to the relevant platform.
8.4 Analytics and performance reports are provided only upon prior request.
9. Practical Services
9.1 Unless otherwise agreed, practical support is priced for remote delivery.
9.2 Ad-hoc support is subject to a minimum charge of one (1) hour.
9.3 Retainer hours are fixed per calendar month and do not carry over unless agreed in writing.
10. Compliance Services
10.1 Risk assessments, policies, and compliance templates are provided as guidance documents only.
10.2 You are responsible for reviewing, adapting, and approving these documents via a competent person before implementation.
10.3 Dellsche does not certify compliance or safety standards and does not accept liability for how documents are applied in your organisation.
11. Limitation of Liability
11.1 You remain fully responsible for the safe and legal operation of your business, staff, sites, systems and contractors.
11.2 Dellsche accepts no liability for:

indirect, incidental, or consequential loss,
-
business interruption, operational delays or loss of profits,
-
decisions taken by the client,
-
third-party failures or platform outages.
11.3 Our maximum liability, whether in contract, tort or otherwise, shall not exceed the total amount paid by you for the specific service giving rise to the claim.
11.4 Nothing in these Terms shall exclude or limit any liability which may not lawfully be excluded under applicable UK law.
12. Use of Trusted Specialists
12.1 In certain circumstances, Dellsche may subcontract work to trusted third-party providers.
12.2 While we carefully select and vet such specialists, Dellsche shall not be held liable for any act, omission, delay, error, or outcome arising from third-party work.
12.3 Any agreement with a third-party provider shall constitute a separate contractual relationship between you and that provider.
13. Cancellations & Termination
13.1 Retained or ongoing services may be cancelled with a minimum of thirty (30) days’ written notice.
13.2 One-off projects cannot be cancelled once work has commenced.
13.3 All completed or in-progress work is billable at the time of cancellation.
13.4 Dellsche reserves the right to terminate services immediately where:

payment is outstanding beyond the agreed terms,
-
you breach these Terms,
-
required access or cooperation is not provided,
-
unsafe, unlawful, or unethical conduct is identified.
14. Confidentiality & Data Protection
14.1 All client data is processed in accordance with UK Data Protection Law, including the UK GDPR and Data Protection Act 2018.
14.2 You are responsible for controlling user access to your systems, platforms, and accounts.
14.3 Dellsche is registered with the Information Commissioner’s Office (ICO), registration number: ZB892282.
15. Force Majeure
Dellsche shall not be liable for any failure or delay in performance where such failure results from circumstances beyond its reasonable control, including but not limited to illness, accident, emergencies, IT failure, labour disputes, natural disasters, or government restrictions.
16. Dispute Resolution
16.1 If you have concerns or complaints, these must be submitted in writing.
16.2 Both parties agree to attempt to resolve disputes amicably through open dialogue and, where necessary, mediation prior to initiating legal proceedings.
17. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
18. Variation of Terms
Dellsche reserves the right to amend or update these Terms & Conditions at any time. The most recent version published at:
